Acceptance of these terms
These Terms of Service (the "Terms") form an agreement between you or the organisation you represent ("you") and GeekyBooks ("GeekyBooks", "we", "us"). If you use GeekyBooks on behalf of an organisation, you confirm that you have authority to accept these Terms for it.
The service
GeekyBooks is an online finance platform for bookkeeping, payables, receivables, payments, banking, time entries, document management, reporting and related features, including AI-assisted automation (the "Service"). We may improve, change or add features over time. Some features may be labelled "Coming Soon" or "Beta" and may change before general release.
Service availability: we aim to keep GeekyBooks available at all times, but it may occasionally be unavailable because of planned maintenance, updates or events outside our control. We will try to schedule maintenance at quiet times and give notice of major planned downtime where we can.
Accounts and access
- You must provide accurate information when you register and keep it up to date.
- You are responsible for keeping login credentials secure and for all activity under your account.
- Workspace owners are responsible for the users they invite and the permissions they grant.
- You remain responsible for complying with the accounting, tax, e-invoicing and record-keeping rules that apply to your business, including filing returns with the authorities. GeekyBooks does not file returns or submit information to authorities on your behalf.
Your data
You keep all rights to the data, documents and content you upload or create in GeekyBooks ("Customer Data"). You give us permission to host, process and display Customer Data only as needed to provide, secure and support the Service. Our Privacy Policy explains how we handle personal information.
Termination and data export: you can stop using the Service and close your account at any time. We may suspend or close an account that materially breaches these Terms or where the law requires it. Before or after closing, you can export your Customer Data for a limited period, after which we delete it, unless we must keep it longer by law. Please keep your own copies of records you are legally required to retain.
Acceptable use
You agree not to:
- use the Service for anything unlawful, fraudulent or harmful;
- try to access accounts or data that are not yours or interfere with the Service's security or performance;
- copy, resell or reverse-engineer the Service except where the law allows it;
- upload malicious code or content that infringes the rights of others.
Indemnity: you agree to compensate GeekyBooks for claims, losses and reasonable costs that arise from your breach of these Terms, your misuse of the Service or the Customer Data you provide.
AI features
GeekyBooks includes AI agents that suggest or perform tasks such as coding bills, matching transactions, PDF to CSV conversion, month end closing, reconciliation and summarising information. AI output can contain mistakes. You are responsible for reviewing results and for the financial, tax and accounting decisions you make. GeekyBooks does not provide legal, tax or accounting advice.
Third-party services
The Service may connect to third-party services, such as financial institutions, payment providers or email. Your use of those services is governed by their own terms and we are not responsible for their availability or actions.
Mobile app
GeekyBooks offers mobile apps that let you use the Service from your phone. These Terms apply to the apps in the same way they apply to the web version.
Use of the app: each authorised user on your account may install the app on their own mobile devices, only to access your GeekyBooks account.
App stores: the app is available from platforms such as the Apple App Store and Google Play ("App Stores"). Your use of it is also subject to the terms and policies of the App Store you use. If those terms conflict with these Terms, these Terms prevail, to the extent the App Store's terms allow.
Who you're agreeing with: these Terms are between you and GeekyBooks only, not any App Store. GeekyBooks, not the App Store, is responsible for the app and its support. The app is not affiliated with or endorsed by any App Store.
Intellectual property
GeekyBooks and its software, design, logos and content (other than Customer Data) belong to GeekyBooks and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, in line with these Terms.
Disclaimers
We work hard to keep GeekyBooks reliable and accurate, but the Service is provided "as is" and "as available". To the extent permitted by law, we disclaim implied warranties such as merchantability, fitness for a particular purpose and non-infringement.
Limitation of liability: to the extent permitted by law, GeekyBooks is not liable for indirect, incidental, special or consequential losses, such as lost profits, revenue, data or tax penalties and interest. Our total liability for all claims relating to the Service is limited to the amount you paid us in the 12 months before the claim.
